Constitution

1. Title

This Association of cricket interests shall be called the Welsh Cricket Association (hereinafter referred to as the Association).

2. Affiliation

The Association shall be a member of the England and Wales Cricket Board and affiliated to any other bodies which may be advantageous to the Association.

3. Mission Statement

(a) To promote, direct, foster, encourage, and improve amateur cricket in Wales.

(b) To promote interest in cricket at all levels and to encourage and develop active participation in the game.

(c) To bring together, through periodic meetings, elected representatives of all member organisations.

(d) To strive to the best of its ability to ensure that equitable treatment is given to all with whom it has contact irrespective of gender, religion, disability, ethnic origin or sexual orientation.

(e) To comply with the Child and Vulnerable Persons Policy and implementation procedures set out in the England and Wales Cricket Board Policy in October 2003, and any amendments made to those guidelines from time to time either by that Body or any of its approved successors.

(f) To promote good behaviour in (Junior) cricket in the regional development committees schools, junior leagues, and clubs and their teams in accordance with the Sports Council for Wales Chwarae Teg Initiative 2001 and any amendments made to those guidelines from time to time either by that Body or any of its approved successors.

(g) To act as the advisory body on the provision of cricket facilities with particular reference to statutory and voluntary organisations.

(h) To consult and liaise with whoever may be concerned with cricket problems and development, embracing not only the game itself but coaching, umpiring, club and ground maintenance, financial and general administration.

(I) To arrange international matches, competitions and other fixtures as may from time to time be deemed advisable.

4. Membership and Status

(a) Membership of the Association shall be composed of individual Cricket Clubs, Cricket Leagues and Associations connected with Cricket (henceforth termed Bodies) operating wholly or partially within Wales and which have approved clauses in their Constitution dealing with Discipline, Child Protection, Equity and Good Behaviour.

(b) The Association shall have the authority to accept as Associate Members any other Bodies, organisations or individuals. These will have no power to vote.

(c) The Association may elect Life Members in various categories. These shall be entitled to attend all General and Council meetings but shall have no power to vote (see also 15 (d)).

(d) Application for membership must be in writing to the Secretary and shall be reported to Council.

(e) The acceptance of membership of the Association shall be taken as an agreement to the terms of all the Association’s Rules.

(f) The benefits and privileges of the Association shall be confined to members.

(g) (See also Section 17, 18, 19)
The Disciplinary Committee shall have full power to hold an Inquiry and then deal with Full and Associate Members, Officials or Players deemed guilty of having offended against or committed a breach of these general Regulations, and shall be entitled to take such action and impose such penalties by way of reprimand, fine, suspension, expulsion or other penalty as is thought fit.
All Members shall have the right of appearance and representation at Inquiries.

(h) (See also Section 17, 18, 19)
Appeals against the decision of the Disciplinary Committee shall be allowed. Any Notice of Appeal must be in writing and must be lodged with the Association’s Secretary within fourteen days of the receipt of the decision of the Disciplinary Committee and must be accompanied by a deposit of £50.
At the same time as the Notice of Appeal is lodged the Secretary must also be provided with:

(i) a statement of the grounds of the appeal; and

(ii) if leave is sought to present any fresh evidence to the Appeals Committee, particulars of such evidence and of the reasons why it was not presented to the Disciplinary Committee.
 

The Appeals Committee shall have power to allow or dismiss the appeal and/or vary the decision and its decision shall be final and binding upon the Association and every member thereof. The Appeals Committee shall also have power, at its discretion, not to return the deposit where it considers the appeal to be without merit.
At all hearings Members have the right to appear before the Disciplinary Committee and the Appeals Committee. Members may be represented as may the Association.

(i) The Association shall act to promote the extension of the duly processed disciplinary actions taken by a member Club, League and Association to all other member Clubs, Leagues and Associations so that the spirit of the Associations Disciplinary Process (See sections 4(g), 4(h), 18 and 20) is fairly and uniformly administered throughout Wales.

5. Finances

(a) The annual subscription for members as defined in 4 (a) and 4 (b) shall be determined from time to time by the Association at Annual General Meetings.

(b) The financial year shall be from January 1st to 31st December. All subscriptions shall be due on 31 March in each year and must be paid by 31 May to the Hon. Treasurer. Payments made after this date will mean a penalty of an amount as determined by the Executive Committee.

(c) If any member shall fail to pay its subscription within seven days of the due date in accordance with Rule 5 (b), it shall be ground for expulsion of the member from the Association in accordance with Rule 4 (g) and (h), and the procedure of such Rules shall be followed.

(d) The funds of Association shall be dealt with through an account or accounts in the name of the Association. Cheques may be drawn and signed on behalf of the Association by the Chairman, Secretary and Treasurer. The signatures of two out of three must appear on cheques.


6. Officers of the Association

(a) The Officers of the Association shall be the President, Chairman, Vice-Chairman/Chairman Elect, Immediate Past Chairman, Secretary, Assistant Secretary, Treasurer and Assistant Treasurer, all of whom shall be elected at an Annual General Meeting and shall hold office as set out below:

President — indefinitely

Chairman — 3 years

Vice-Chairman/Chairman Elect — 3 years

Immediate Past Chairman — 3 years not re-electable but electable as Vice-Chairman/Chairman elect

Secretary — 5 years: re-electable

Assistant Secretary —5 years: re-electable

Treasurer — 5 years: re-electable

Assistant Treasurer — 5 years: re-electable

(b) The Officers of the Association, together with the Chairmen of the Cricket Committee — the Finance and General Purposes Committee and the Cricket Development Committee shall form the Executive Committee of the Association.

7. Officials — see also Section 16

The Officials of the Welsh Cricket Association shall be:

(a) The appointment of Officials is a function of the Executive Committee but subject to confirmation by Council.

(b) Additional Officials may be appointed, subject to confirmation by Council.

(c) It will be in order for two or more of the offices to be held by the same Official at the same time.

(d) It will be in order for an Officer of WCA to hold one or more of the posts.

(e) The attendance of Officials at meetings of Committees and Sub Committees is set out in Section 16.

8. Regional Structure

(a) For Representation on Council and for local development purposes, Wales shall be divided into six regions: North Wales Cricket Association; Pembroke County Cricket Club; West Wales Cricket Conference; South Wales Cricket Association; South Wales Cricket League; Welsh Clubs Cricket Conference.

(b) Each region shall be administered by Officers and a Committee established after consultation between the Welsh Cricket Association and member clubs and Associations within that region.

(c) Regional constitutions need not be uniform.

(d) Regional Committees shall be responsible to Council.

(e) Regions shall be free to devise and implement policies which do not conflict with policies and/or resolutions of the Association.

9. Council

 (a) Council is the Governing Body for the Association.

 (b) All Committees including regional Committees shall submit Minutes to Council.

 (c) Council shall meet at least three times every year.

(d) Council shall at a meeting immediately following the Annual General Meeting nominate members to Committees of the Association in accordance with the constitutions of those committees.

(e) The Chairman of the Association shall be Chairman of Council.

 (f) The Vice-Chairman/Chairman Elect of the Association shall be Vice-Chairman of Council.

(g) Council shall nominate the Association representative to the Cricket Board of Wales.

 (h) Decisions of Council on all matters relating to the Association shall be binding on every member of the Association, provided that a member may appeal to the Appeals Committee against a decision of Council.

(i) Council shall be constituted as follows:

Officers of the Association

(j) Council members, excluding Officers, must secure annual re-nomination by their nominating bodies, such nominations must be received by the Secretary of the Association in writing before the start each year of the Annual General Meeting of the Association for confirmation by that Association.

10. Executive Committee

(a) The Executive Committee shall be constituted as follows:

(b) The Executive Committee shall deal with:

(i) Matters for which it is given responsibility in this Constitution or in other Rules of the Association.

(ii) Matters referred to it by Council or any Committee.

(iii) Matters arising which the Chairman of the Executive Committee decides require early consideration.

(c) The Chairman of the Executive Committee shall be the Chairman of the Association.

(d) The Executive Committee is responsible to and accountable to Council. Prior to approval by Council, it shall not take action on its decisions unless plenary powers have been given in this Constitution, in other Rules of the Association or by resolution of Council.

11. The Cricket Committee

(a) (i) The Cricket Committee shall be constituted as follows:

(ii) The Chairman of the Cricket Committee shall be one of the 11 Council nominees and shall be elected annually at the first meeting of the Committee following the Annual General Meeting of the Association.

(iii) The Cricket Committee shall meet at least three times every year.

12. The National XI Committee

Shall be constituted as follows and shall appoint a Selection Panel from its members:

13. The Finance and General Purposes Committee and its Sub-Committee  

(a)     (i) The Finance and General Purposes Committee shall be constituted as follows:

Officers and Chairman of Cricket Committee
1 Sports Council Representative

(ii) The Chairman of the Finance and General Purposes Committee shall be one of the 11 Council nominees and shall be elected annually at the first meeting of the Committee following the Annual General Meeting of the Association.

(iii) The Finance and General Purposes Committee shall meet at least three times every year.

(iv) The Finance and General Purposes Committee shall have as a Sub-Committee the Marketing and Sponsorship Sub-Committee and shall appoint its Chairman who shall be a member of the Finance and General Purposes Committee.

(b) The Marketing and Sponsorship Sub-Committee shall be constituted as follows:

The WCA Coaching Forum Committee

Mission Statement

1. To act as a sounding board for the WCA representatives on the CBW to monitor progress in junior cricket development. Thus, it would be a vehicle for interaction between the recreational coaches ‘on the ground’ and the Partnership.

2. To receive and comment on Reports by the CBW Director of Cricket.

3. To discuss and make recommendations on Coaching Policy on Coach Education, Progress and Best Practice and on Cricket Facilities.

14. The Coaching Forum Committee

(i) The Coaching Forum Committee shall be constituted as follows:

10 Representatives of the duly constituted Coaches Associations of the WCA who are actively involved with coaching/coach education.

(ii) The Chairman of the Coaching Forum Committee shall be a Council member and shall be elected annually at the first meeting of the Council following the Annual General Meeting of the Association.

(iii) The Secretary of the Coaching Forum Committee shall be the Assistant Secretary of the Association.

(iv) The Coaching Forum Committee, acting on behalf of the WCA, is charged with the formation, guidance and control of duly constituted Coaches Associations in specified geographical areas throughout Wales. It is also empowered to recommend to the WCA Council in writing the dissolution of any Coaches Association that acts in a manner contrary to the good cause of cricket in Wales.

(v) The Coaches Forum  shall meet at least twice every year, preferably in early April and early October.

15. Miscellaneous Provisions

(a) Co-option

(i) There shall be no co-option to Council, Executive Committee, Cricket Committees, Finance and General Purposes Committee and the Coaching Forum Committee.

(ii) Sub-Committees may co-opt. Co-optees shall not vote.

(b) Alternates

Nominated members from any organisation may be substituted from the same organisation to represent them at Council, Cricket Committee, Finance and General Purposes Committee, Cricket Development Committee, Disciplinary Committee and all Sub-committees. Such alternates may vote.
Co-opted members of any Committee shall not be alternated.

(c) Officers

Officers are full members of all Committees and Sub-Committees except the Disciplinary Committee.

(d) Life Vice-Presidents, Vice-Presidents and Life Members

(i) Life Vice-Presidents and Life Members. Council may nominate Life Vice-Presidents and Life Members for outstanding service to Cricket in Wales.

(ii) Vice-Presidents. Council may appoint as a Vice-President of the Association any person upon the payment of an annual donation.

(iii) Life Vice-Presidents, Vice-Presidents and Life Members may attend all General and Council Meetings but may not vote.

(e) Chairmen of Committees

(i) The Chairman of the Association shall be Chairman of both Council and the Executive Committee. The Vice-Chairman/Chairman Elect of the Association shall be Vice-Chairman of both Council and the Executive Committee.

(ii) The Chairmen of the Cricket Committee, the Finance and General Purposes Committee, the Coaching Forum Committee and the National Xl Committee shall be elected at the first meeting of those Committees following the Annual General Meeting and shall be members of Council.

(iii) Committees shall appoint the Chairmen of any Sub-Committees formed by them. Each Sub-Committee Chairman must be a member of the appointing Committee.

(iv) No Officer, or member of Council, shall be Chairman of more than one Committee or Sub-Committee, save that the Chairman of the Association shall be Chairman of both Council and the Executive Committee.

(f) Other Sub-Committees

The Cricket Committee, the Coaching Forum Committee and the Finance and General Purposes Committee may constitute Sub Committees other than those specified in this Constitution.

(g) Age Limits

Officers, Officials and Members of Council shall relinquish such positions at the Annual General Meeting following their 75th birthday, or at the end of their term of office, except in the case of President, Patron, Life Vice-Presidents, Vice-Presidents and Life Members.

(h) Status of Officers

(i) The officers of Chairman and Vice-Chairman/Chairman Elect shall cease to be conditional on ‘Regional’ or ‘Special Interest’ nomination after such appointment has been made. Alternative representation will then be available to the ‘Region’ or ‘Special Interest’.

(ii) The Offices of Secretary, Treasurer, Assistant Secretary and Assistant Treasurer shall not in any way be dependent on ‘Regional’ or ‘Special Interest’ nomination of the holders.

(iii) Temporary Officers taking office between Annual General Meetings shall be confirmed or otherwise at the next Annual General Meeting and the period of that appointment, i.e. 5, 3 or 1 years, shall date from such Annual General Meeting.

(i) Quorums

Quorums shall be as follows:

Disciplinary Committee — 3 members
Appeals Committee — 3 members
All other Committees — one-third of members

16. General Meetings

(a) Annual General Meetings

(i) The Annual General Meeting of the Association shall be held not later than the end of March in any year.

(ii) Nominations for Officers, properly proposed and seconded, must be received in writing by the Secretary on or before 15 January.

(iii) Proposals for alterations to these Rules at the AGM, properly proposed and seconded, must be received in writing by the Secretary not later than 30 November. The proposals shall he considered by Council and shall be circulated with the Agenda for the AGM.

(iv) The Agenda for the AGM shall be sent to members so that it is received by the member by hand or by post at least 14 days before the Meeting. It shall include the nominations for Officers, any proposals for alterations to Rules and the Treasurer’s audited financial statement.

(b) Special General Meetings

All General Meetings other than the Annual General Meeting shall be called ‘Special General Meetings’ and the Executive Committee may at any time, and on the requisition of not less than twenty members must, within 21 days of such requisition, summon a Special General Meeting.

(c) All General Meetings

(i) At any General Meeting, each Body in full membership of the Association, Officers, and nominated Members of Council shall be entitled to one vote each if present at the Meeting. The Chairman of the Meeting shall have a casting vote only.

(ii) The Chairman of a General Meeting shall be the President of the Association, or any member of Council nominated by him.

(iii) Any alteration, addition or amendment to these Rules must be effected by a resolution to that effect, supported by at least two-thirds of those present and voting at a General Meeting. On all other matters, a simple majority will suffice.

17. Officials — Committees and Sub-Committees

Officials shall attend Committees and Sub-Committees in accordance with the Schedule given below:

NB

1. Employees may not vote at any Meeting. Officials may not vote at Council Meetings

2. Officials may move or second resolutions except at Council meetings.

3. Officials should attend as above, except for the Hon. Solicitor, Hon. Medical Officer and Auditor.

4. Officials may attend other meetings with the prior knowledge and consent of the Chairman of the particular committee.

5. Officials may be invited to attend other meetings by the Chairman of that particular committee.

18. Disciplinary Committee (see also Sections 4 (g), 4 (h), 19)

The Disciplinary Committee shall consist of one representative from each Region provided that such representative is a member of Council.
Council shall receive the name of the Regional representative at the Council meeting held immediately after the Annual General Meeting.
The Disciplinary Committee shall elect a Chairman and Minute Secretary at the commencement of each meeting. The Chairman shall cast a second vote if required.

19. Appeals Committee (see also Sections 4 (g), 4 (h), 19)

The Appeals Committee shall resolve on all Appeals against decisions affecting Association’s members and individuals participating in Association events and processes.
The Appeals Committee shall consist of all members of the Executive Committee. A Chairman shall be elected at the commencement of that particular meeting.
Decisions of the Appeals Committee shall be final and binding.

20. Disciplinary Process (See also Sections 4 (g), 4 (h), 4 (i), 18)

This section refers to structures and events organised and controlled by the Association, or to cases where WCA has been requested by both parties to intervene or adjudicate. The Association strongly recommends that all member Clubs, Leagues and Associations adopt the appropriate parts of the following Disciplinary process, which will enable it to accede to requests to intervene and adjudicate, as well as to gain co-operative action of all member Clubs, Leagues and Associations to the rightful Disciplinary Process of one of them.

(a) It shall be a disciplinary offence:

(i) For any player in connection with, or in the course of, Welsh Cricket Association Structures or Events to misconduct himself, or to act at any time in a manner calculated to prejudice the good name or interests of the Association.

(ii) For any Club or Body to fail properly to control or discipline its players, or to act in a manner calculated to prejudice the good name or interests of the Welsh Cricket Association.

(iii) Providing that the disciplinary procedure including right of appeal can be shown to have followed the model identified in clauses 18-20 of the WCA Constitution, then the WCA will take disciplinary action against any League or club that plays a cricketer during the period of a ban by an affiliated league or club under the clause 20(a)(ii).

The Players and/or Body committing an offence shall be liable to penalties in the manner and as described hereafter.

(b) For the purposes of these Rules the expression ‘the player’ shall throughout these Rules be deemed to mean and include not only any player, whether a professional or otherwise, but also any member or official of any Body or if appropriate any other person involved in any incident of possible misconduct occurring on the field of play, or on the premises of the Body as may be appropriate in the particular circumstances.

(c) Any complaint or report will be investigated only if made in writing to the Secretary of the Association within 7 days of the alleged event.

(d) Before any penalty is imposed there shall be a disciplinary hearing before the Disciplinary Committee of the Association. At least 7 days’ notice in writing of the hearing and of the alleged offence shall be given to the player, or in the case of a Body, its Secretary, in writing. The player or Body shall be entitled to attend the hearing, to be legally or otherwise represented and to call witnesses — as shall WCA.

(e) If at the hearing the Disciplinary Committee find the alleged offence proved it shall have the power to impose one or more of the following penalties:

(i) in the case of a player:

(i) suspension for one or more matches or sine die

(ii) a fine of not more than £100

(iii) reprimand

(ii) in the case of a Body:

(i) expulsion from the Association

(ii) expulsion from any competition of the Association

(iii) deduction of points

(iv) a fine not exceeding £250

(f) A player or Body found by the Disciplinary Committee to have committed an offence or upon whom the Disciplinary Committee has imposed a penalty shall have the right of Appeal to the Appeals Committee. Notice of Appeal setting out the ground must be given in writing to the Secretary of the WCA within 14 days of the notification of the decision of the Disciplinary Committee together with a deposit of £50. Upon receipt of the Notice of Appeal the penalty shall not take effect pending the hearing of the Appeal.

(g) The Appeal shall be by the way of a rehearing. The player or Body and the Association shall have the same rights of attendance and representation, and to call witnesses as they had before the Disciplinary Committee — as shall WCA.
If leave is sought to present any fresh evidence to the Appeals Committee, particulars of such evidence and of the reason why it was not presented to the Disciplinary Committee must be forwarded to the Secretary of the Association.

(h) The Appeals Committee may confirm, vary or reverse, the decision of the Disciplinary Committee. The Appeals Committee shall also have the power at its discretion not to return the deposit where it considers the appeal to be without merit.

(i) The decision of the Appeals Committee, or, if no appeal, of the Disciplinary Committee shall be final and binding.

21. Interpretation of Rules and matters not provided for

Council shall be empowered to deal with any questions that may arise on the construction of these Rules and to act as it deems necessary in respect of any matter not covered by these Rules.

22. Dissolution

The Association shall not be dissolved except at a General Meeting specially convened and at which votes in favour of the resolution comprise at least three quarters of the votes cast.

23. Anti-Doping Rules

At all events in which players from clubs and leagues affiliated to WCA participate, doping is strictly forbidden. Doping is the use by or distribution to a sportsman of banned substances as defined by the IOC Medical Commission.
Any cricketer must, if requested by an official designated by the Governing Body for the purpose of doping control, submit to a doping control test. Failure to do so will be taken as if a positive result has been obtained, and dealt with accordingly.
Identification of a forbidden substance and/or one of its metabolites, or the presence of specified amounts of endogenous, i.e. naturally occurring substances subject to quantitative analysis in body fluid, will constitute an offence, and the offender may be penalised. For these regulations, caffeine will be dealt with as though it were an endogenous substance.
Any person assisting or inciting others in the contravention of doping regulations shall be considered as having committed an offence against the Governing Body rules and will be subject to disciplinary action.
If the analysis of a sample obtained from a player indicated the presence of a banned substance the recognised procedure as laid down by the Sports Council for Wales shall be followed and the Council or its designated sub committee shall take such action as it considers appropriate.

24. Declaration of Pecuniary Interests

24.1 If any member, officer or employee of the Welsh Cricket Association has a pecuniary interest either direct or indirect in any contract, proposed contract or other matter and is present at any meeting at which that contract or other matter is the subject of consideration, he or she shall at the meeting and as soon as practicable after its commencement disclose the fact and shall not take part in the consideration or discussion of the contract or other matter or vote on any question with respect to it.

24.2 "Pecuniary Interest" for this purpose is not restricted to financial benefit and includes any financial loss or increased personal charge, expenses or disadvantage but excludes members’ expenses, subscriptions and/or competition fees.

24.3 "Other matter" applies in a very general way and shall not be restricted to transactions which are ejusdem generis with contract.

24.4 Sporting Pecuniary Interests in particular shall be declared as follows although not an exhaustive list:

(a) any employment or income received from work undertaken within the sport;

(b) any income received from the sport as a partner, director or employee within a firm;

(c) any sponsorship which you may personally receive;

(d) any sponsorship which you may give to any aspect of the sport;

(e) any contracts which you may have the sport for the provision of services or goods for profit;

(f) any interests in any corporate bodies you may have for your own benefit and which do business with the W.C.A.

24.5 Any interest which any close members of your family may have in these matters shall also be declared when matters or issues are discussed which could affect their financial position.

25. Register of Pecuniary Interests

25.1 For the record and for openness and scrutiny a Register of Pecuniary Interest shall be maintained and in which shall be recorded the pecuniary interests of those persons in Clause 24.1 and 24.5 whose interests shall be declared in writing and sent to the W.C.A. auditor.

25.2 Written disclosures shall be entered in the Register which shall be maintained by a Proper Officer designated by the W.C.A.’s Management Committee and shall be available and open to inspection by any member or authorised public official or W.C.A. auditor.

25.3 All Registered entries shall be checked annually by letter to those concerned who shall report any necessary deletions and/or additions.

25.4 Sanctions.

25.5 Any persons required by these rules to declare orally or in writing any relevant pecuniary interest and fails to do so shall be subject to W.C.A. sanctions as follows:

1. All members and officers shall be charged with bringing the sport into disrepute and via the prescribed disciplinary processes.

2. Employees shall be charged with misconduct via the disciplinary processes laid down in the contracts of employment.

26. Model Constitution for Coaching Associations in Wales (Agreed by CBW & WCA)

Name

1. The Association shall be called the ___________________ Coaches Association
(herein after called the Association).

Accountability

2. The  ___________________ Coaching Association (is a constituent part of the
Welsh Cricket Association) (WCA).

3. The WCA is a partner in the Cricket Board of Wales (CBW), which has overall authority regarding the development of junior cricket in Wales. The Association acts on behalf of the WCA. The Association shall invite the CBW Cricket Development Officer to all its meetings and circulate agenda and minutes of meetings to the CBW’s Director of Cricket and the Chairman of the WCA Cricket Forum Committee.

Objectives

4. The objectives of the Association are to foster the development of cricket coaching in the area by:

(a) Developing coaching programmes to teach young people to play and learn rudimental skills;

(b) Provide coaching courses for the more talented cricketers in the development of emerging excellence;

(c) Administering and managing Coach Education courses as accredited by the England & Wales Cricket Board (ECB);

(d) Increasing the Association’s membership;

(e) Equal opportunities for all bodies in cricket.

Membership

5. The Association shall consist of the officers and the members. Officers will have voting rights.

6. Membership of the Association shall be open to any coach with a recognised ECB cricket coaching qualification (or ex National Cricket Association or other recognised country’s qualification), and should be either coaching or living within the region.

7. The duration of membership shall be determined by the coach’s licence. All such members will be invited to Association general meetings.

8. Membership of the Association shall be open and not unreasonably restricted on the grounds of sex, race or of political, religious or other opinion, to any qualified coach who is prepared to accept and support the stated objectives of the Association.

9. Members must be licensed to carry out coaching work, with the WCA. A licence fee must be paid to the WCA.

10. The licence fee to the WCA partly covers a contribution to the Coaching Association.

11. In accepting membership, a person agrees to abide by the constitution of the Association and the rulings of the Officers’ sub committee.

12. Members must be insured and abide by the Cricket Coaches Association code of conduct.

Officers

13. The Annual General Meeting of the Association of members shall elect officers of the Association, who shall be:

(a) President (optional as an officer).

(b) Chairman.

(c) Vice Chairman (optional as an officer).

(d) Honorary Secretary.

(e) Assistant Secretary.

(f) Honorary Treasurer.

14. The Officers shall hold office for a calendar year, being elected annually at the AGM.

15. Special General Meetings require in writing the signatures of any seven members of the Association and fourteen days notice to be given to all members of the Association.

16. All officers shall retire annually but shall be eligible for re-appointment.

17. The Chairman shall hold office for no longer than three continuous years and shall hold no other office in the mean time for a further one year.

18. The Secretary must receive nominations for the officers, with the proposer and seconder and the agreement of the Nominee, at least 48 hours prior to the AGM. if the Secretary prior to the AGM has received no nominations, then nominations will be accepted at the meeting. If no nominations come forward at the meeting, the Status Quo will prevail.

Management

19. Control and management of the Association shall be vested within the Committee, comprising the officers of the Association, as elected at the AGM. The committee may summon a general meeting at any time.

Annual General Meeting

20. The Annual General Meeting (AGM) of the Association shall be held in every year during the month of  ___________________  , when the annual report of the Committee and the audited statements of accounts up to the end of the financial year shall be presented.

21. Not less than 21 days notice of the AGM shall be given to all members by the Secretary.

22. The AGM shall elect the officers.

23. All members of the Association shall have equal voting rights.

24. The quorum for general meetings and AGMs shall be seven.

25. A motion shall be carried by a simple majority vote.

26. Any amendment to the Constitution may only be done with approval of the WCA and CBW and needs an absolute majority.

27. The Chair shall have a casting vote in addition to a deliberative vote.

General Meetings

28. Meetings will be held usually at two monthly intervals (except during the cricket season when it is likely that meetings will not be so regular).

29. At least 14 (fourteen) days notice of all meetings shall be given in writing by the Secretary, together with an agenda of the business to be transacted, to all in membership of the Association.

Finance

30. The financial year of the Association shall be _______ till ______

31. All monies received on behalf of the Association shall be paid into an account in the name of the Association at a bank as the Association may select. Two of four Signatories may authorise/sign cheques, one being the Treasurer, and any one of the Chairman, Vice Chairman or Secretary.

32. The Association shall keep proper books of accounts for all income and expenditure. As soon as possible after the end of the financial year, the Association shall ask an independent, qualified person to prepare an audited statement including an income and expenditure account and balance sheet for public inspection.

Property

33. All property owned or leased by the Association rests with the Committee.

Discipline and Appeals

34. The committee shall have the power to take appropriate disciplinary action against any members and authority to terminate membership.

35. There shall be the right to appeal to the Committee against any decision made by the officers of the Association.

Dissolution Procedures

36. In the event of the Association ceasing to exist, and following the discharge of all debts and liabilities, all assets at the time of dissolution shall become the property of the WCA. No member may obtain any asset from the Association,

37. The Association may be wound up jointly by the WCA and CBW if they deem that it acts in a manner contrary to the good cause of cricket in Wales.
